A Certificate of Good Standing (also known as a Certificate of Existence or Certificate Under Seal) is issued by the Albany office of the New York State Dept. of State, Div. of Corporations. The local office of the New York State Dept. of State in New York City cannot issue such certificates. For the purpose of an Apostille, a copy is sufficient and a stamped or embossed seal is not necessary.

RELATED DOCUMENTS: Certificate of Incorporation, Articles of Organization, power of attorney are sometimes required along with a Certificate of Good Standing for a company to to conduct transactions overseas.
